Paul Woodall, Jr. is a partner in the firm’s Business & Commercial Transactions Practice Group and practices from the firm’s Birmingham office. Mr. Woodall has experience in a variety of areas of business practice, including general corporate representation, mergers and acquisitions, choice of entity, municipal economic development incentives, product distribution, real estate transactions, commercial lending, and intellectual property.
Recently, Mr. Woodall has devoted a significant amount of time on structuring municipal incentives on behalf of municipalities with respect to large commercial real estate developments.Mr. Woodall has assisted a number of manufacturers in all phases of taking their products to market, including establishing distribution systems, handling dealer terminations, implementing joint ventures, antitrust counseling, establishing franchise systems, trademark protection and developing product warranties. He also routinely prepares and negotiates distributorship agreements, consignment agreements, motor carrier agreements, warehousing agreements, supply agreements, sales agency agreements, trademark license agreements, franchise agreements, and toll manufacturing agreements for manufacturing industry clients.
In addition, Mr. Woodall has extensive experience in the many possible uses of limited liability companies, and has spoken at a number of CLE seminars on the topic of limited liability companies. He has prepared and negotiated a wide variety of operating agreements with respect to multiple-member limited liability companies, and has advised clients on the many possible uses of single-member limited liability companies.
