
Thomas A. Wuchenich is a Partner at Simpson Thacher & Bartlett LLP in the Firm’s Corporate Department. His practice focuses primarily on the representation of sponsors of private investment funds across a wide variety of asset classes, and he also has significant experience in capital markets and mergers and acquisitions transactions.
Tom was named one of California’s Top 100 Leading Lawyers for 2012 by the Los Angeles and San Francisco Daily Journal. He has also been recognized as one of the leading private funds lawyers for the past several years by The International Who’s Who of Business Lawyers.
Tom regularly represents a broad range of alternative asset management firms in the formation and ongoing operation of their private equity and other private investment funds. His recent experience includes the representation of sponsors such as CIM Group, KSL Capital Partners, Oaktree Capital Management, Platinum Equity, Prime Group, Technology Crossover Ventures and ZelnickMedia. He also has significant experience in structuring the portfolio investments of private equity funds.
In capital markets transactions, Tom represented Oaktree Capital Group in connection with its initial public offering and follow-on offerings. In addition, he has represented issuers such as Seagate Technology and Universal Truckload Services in their initial public or follow-on offerings, and underwriters in transactions such as the initial public offering of Google, Inc. and numerous other initial public or follow-on offerings.
In the realm of merger and acquisition transactions, Tom has represented Oaktree Capital Management in its acquisition of a minority stake in, and structuring a strategic alliance with, DoubleLine Capital, LP; Technology Crossover Ventures in its investment in Eladian Partners, LP and its acquisition of a minority interest in OSIsoft, LLC; and Castle Creek Capital Partners in connection with its investments in First NBC Holding Corp. and Heritage Oaks Bancorp.
Tom has been with Simpson Thacher since his graduation from Columbia Law School in 1996, where he was a Harlan Fiske Stone Scholar and a member of the Journal of Transnational Law. He received his B.A. from Bucknell University in 1992 and a Masters in International Affairs from Columbia University in 1996.
